Overmind offers merchandising and 3PL (Third Party Logistics) services, including but not limited to warehousing, inventory management, order fulfillment, transportation, and merchandising solutions. 2. Client Obligations:
Clients are responsible for providing sign off for approval of designs, production details and information regarding their merchandise, including product details, quantities, quality standards, and any other relevant specifications. Clients must also comply with all applicable laws and regulations related to their merchandise.

3. Payment Terms:
Payment terms are outlined in the agreement between Overmind and the client. Clients are responsible for paying all fees and charges associated with the services provided by Overmind in accordance with the agreed-upon terms. Late payments may incur additional fees or penalties.

4. Intellectual Property:
All intellectual property rights related to the services provided by Overmind, including but not limited to trademarks, logos, and proprietary software, are owned by Terminal or its licensors. Clients may not use Terminal’s intellectual property without prior written consent.

5. Confidentiality:
Overmind agrees to maintain the confidentiality of any proprietary or confidential information provided by the client, including but not limited to product specifications, pricing information, and business strategies. Likewise, clients agree to keep confidential any proprietary information belonging to Overmind.

6. Governing Law:
These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
